    Deal-by-deal

What to check before you buy a business

A basic due-diligence list. Go through it with a lawyer or accountant before any binding offer.

  • The historical extract from the QKB business register: owners, administrator, capital and changes over the years.
  • Financial statements and tax returns for the last two to three years.
  • Tax and social-security obligations: confirmation that nothing is left unpaid.
  • Key contracts: the premises lease, suppliers, customers and employment contracts.
  • The licences and permits the business needs, and whether they pass to the new owner.
  • What the price includes: equipment, stock, brand, domain and online accounts.

Full sale or partial sale?

Full Sale

You buy all of the company's shares and take full control. The transfer usually runs through a share purchase agreement (SPA).

Partial Sale

You buy a percentage and become a partner of the existing owners. A shareholders' agreement (SHA) sets out decision-making, dividends and exit.

Capital Raise

In a capital raise the company issues new shares and the money goes into the business, not to the owner.

Frequently asked questions

Do you review a business before publishing it?

Yes: our team reviews every listing before it goes live. That does not replace your own checks. Before you buy, verify the documents with a lawyer or accountant; Mercatus does not give investment advice.

Why do some listings not show the company's name?

They are confidential mandates: the owner does not want staff, customers or competitors to find out too early. The name and documents open to verified buyers once they sign the NDA.

What happens after I make an offer?

The offer is set down in a letter of intent (LOI) with the price, structure and timing. Due diligence follows, then the contract (SPA or SHA) and the registration of the new owners with the QKB.
