Why sell your business through Mercatus

Verified buyers

Buyers sign up with a profile, and for confidential mandates they pass identity checks and, where required, proof of funds.

Documents behind an NDA

The public text describes the business. Financials and confidential documents go only to buyers who pass verification and sign the NDA.

You pay when you sell

The success fee is 6% of the closed transaction value or capital raised, payable at closing. A registration fee may apply after screening.

A structured process

NDA, letter of intent (LOI), due diligence and the contract (SPA or SHA). Lawyers finalise the closing documents.

What to prepare before you sell

The more complete the documents, the faster the review and the more a buyer trusts them.

  • The QKB register extract and founding documents (statute, act of incorporation).
  • Financial statements and tax returns for the last two to three years.
  • A list of the assets included in the sale: equipment, stock, brand, domain.
  • Key contracts: lease, suppliers, customers and staff.
  • The licences and permits the business operates under.
  • Why you are selling and the price you are asking, or how much capital you want to raise.

How a business is valued

The price usually rests on sustainable profit (often a multiple of annual profit), the value of the assets and the growth a buyer can expect. During the review we discuss your target valuation with you, so the price holds up when a buyer sees the numbers.

Full sale, partial sale or capital raise

Full Sale

You sell all the shares and step out, usually with a handover period for the buyer.

Partial Sale

You sell a percentage and take on a partner who brings money or experience, while you stay in the business.

Capital Raise

The company issues new shares: the money goes into the business for growth, and you stay an owner.
